Proper Trades Terms of Business
Who provides the Service
The Service is provided by Proper Trades Ltd ("Proper Trades"), with company address at 31 Alexander Malinov Boulevard, Mladost 1A Residential Estate, 1729 Sofia, Bulgaria ("we", "us", "our"). Your contract is with Proper Trades Ltd. Our website is https://propertrades.com and any replacement domain we identify through our official channels (the "Website").
Contact us at info@propertrades.com for membership and complaints, and for personal-data matters. A partner broker’s authorisation belongs to the relevant broker entity and does not authorise Proper Trades to provide investment services. These Terms do not represent that Proper Trades has a financial-services licence.
These Terms govern our Website, free channel, Premium Membership, Telegram channels, market commentary, trading signals, educational materials, review sessions and support (collectively, the "Service"). They do not govern a broker's trading account, which is a separate relationship between you and that broker.
Eligibility and territories
You must be at least 18 years old, meet any higher minimum age applicable locally, have legal capacity to contract, and provide accurate information reasonably required for admission. Membership is for individual personal use unless we expressly agree otherwise.
Our principal audience is in Asia, Africa and Latin America. The Service is available where we can lawfully provide it, subject to local law and the restrictions below. These regional descriptions do not mean every country in either continent is eligible.
UK nationals are excluded, including dual UK nationals, wherever resident. As an additional territorial restriction, UK residents and persons accessing the Service from the United Kingdom are also excluded. Do not apply for membership or use a proxy, VPN, different nationality declaration or another person's account to evade these restrictions.
We do not actively market or solicit memberships in the EU. An EU-based person may access or request the Service only where the relevant supply, publication and referral are lawful. Voluntary access does not, by itself, establish an exemption from EU or national rules. We may decline an EU membership or broker referral until relevant permissions and requirements are verified.
The Service is also unavailable wherever supplying it would require an authorisation, approval or other legal condition that has not been satisfied. Do not circumvent geographic or eligibility controls or misrepresent your residence or nationality.
We may request proportionate age or residence verification when reasonably necessary. We will explain the purpose and handle associated personal data under our Privacy Policy. We do not conduct a broker's identity, anti-money-laundering or appropriateness checks on its behalf unless a separately disclosed, lawful arrangement expressly provides otherwise.
What we offer
We publish market analysis and trading ideas relating to foreign-exchange pairs, commodities and indices. Content may include a direction, indicative entry, one or more targets, an invalidation level, reasoning, technical or fundamental commentary, and subsequent updates. Educational resources may include eBooks, strategy explanations, trade reviews and performance summaries.
Free Channel Access provides the content described at enrolment. Premium Membership provides broader coverage and priority publication through designated channels, subject to the eligibility conditions in section 6. A reference to "VIP" means the relevant Premium channel unless we expressly describe a separate service.
We do not promise a minimum number of signals, a particular publication schedule, a win rate, a return, or uninterrupted live coverage. An absence of signals may reflect our assessment that no opportunity meets our publication criteria. "Real-time" and "priority" describe our intended publication arrangements; they do not mean simultaneous receipt by every member or a guaranteed delivery latency. Support is available through info@propertrades.com and our official Telegram contacts. No fixed response time, 24-hour coverage or service-level guarantee applies unless we expressly agree one in writing.
Scope and limits of our role
Our content is distributed to an audience and is not designed around your personal finances, experience, objectives or tolerance for loss. Unless a separately authorised and expressly agreed service says otherwise, we do not assess whether a trade, strategy or product is suitable for you, provide personalised investment recommendations, act as your fiduciary, manage your portfolio, receive or transmit orders, execute trades, operate copy trading, or hold client money.
Support concerns access, service operation and explanations of published material. Support staff must not tell you that a trade is suitable for your circumstances, select your position size or leverage, or manage an open position for you. Seek independent professional advice for those questions.
The legal classification of our activity depends on its substance and applicable law. Describing content as commentary, education or a signal does not remove legal requirements that apply to investment recommendations, advice, financial promotions or introductions. Nothing in these Terms excludes our regulatory duties or permits an activity that requires an authorisation we do not hold.
You decide whether to trade and are responsible for your broker selection, instrument selection, orders, position sizing, leverage, margin, risk controls and monitoring. This responsibility does not remove your rights where our own breach of duty causes loss under applicable law.
Delivery account security and technical requirements
You need a compatible device, an internet connection and a Telegram account to receive Telegram content. Other requirements, channels and access instructions will be disclosed before admission. Telegram controls its own availability, settings and account restrictions.
Keep your account secure, use access links only as authorised, and contact support promptly if a link fails or your access is compromised. Do not share credentials or allow another person to use your membership. We will assist with access problems where reasonably practicable and may verify ownership before restoring access.
Notifications can be delayed, muted, missed or reordered. Read the original publication and relevant later updates, check their timestamps and time zones, and check your broker's current prices before acting. A signal is not a standing order and must not be assumed to remain current indefinitely.
We will exercise reasonable care in operating the Service, investigate reported material errors, and correct material inaccuracies with an appropriate dated notice. We may temporarily restrict affected content while investigating. We cannot guarantee that every recipient sees a correction before making a trading decision.
Signals updates and risk management
Entry, target and invalidation levels are analytical reference points. They are not guaranteed obtainable prices, guaranteed stops, or a promise that a position will be opened or closed by us. A change to an idea, an early-close update or a published outcome does not change an order in your account.
You are responsible for verifying the exact broker instrument, contract specifications, bid/ask prices, quote units and market hours. A product referring to gold or an index may be a leveraged derivative rather than ownership of the underlying asset. Our quotation source may differ from your broker's.
Market conditions can invalidate analysis quickly. Risk-to-reward ratios describe assumed levels before actual execution and costs; they do not establish a probability of success or the maximum loss you will suffer. Read our Risk Disclaimer before using trading content.
Performance information
Published signal outcomes are not, by themselves, evidence of returns achieved in an actual client account. Each performance presentation must identify whether it is based on actual executions, model signals, demo activity, backtesting or another method, and explain material assumptions and limitations.
A performance presentation must explain its quote source, timestamps and time zone, entry triggers, unfilled and cancelled signals, partial exits, multiple targets, early closes, costs and win/loss classification. If the presentation does not supply that information, do not interpret a displayed "win" or point/pip total as proof of a profitable implementable strategy. You may request clarification through info@propertrades.com. No independently audited or actual-funded-account status should be inferred where it is not explicitly established.
Instrument point and pip conventions vary. Point totals across different instruments are not comparable cash profits or percentage returns. Your results depend on contract size, execution, costs, leverage and decisions. Past performance, including a profitable period or high win rate, does not reliably predict future performance.
We will not knowingly conceal losing signals, fabricate executions, describe hypothetical results as actual, or claim a complete or independently audited record without substantiation. Corrections should preserve a dated explanation of the original error and correction, subject to legitimate legal or privacy requirements.
Acceptable use and community conduct
You must not:
- Redistribute, sell, publicly broadcast or commercially exploit restricted content or invite links without permission.
- Impersonate staff, solicit credentials or deposits, harass members, publish unlawful content, or promote scams.
- Bypass access controls, disrupt the Service, introduce malicious software, or scrape restricted content in breach of applicable law or these Terms.
- Use the Service to manipulate a market, misuse inside information, coordinate unlawful trading or mislead others about performance.
These restrictions do not prevent lawful quotation, fair dealing or other mandatory intellectual-property exceptions, reporting suspected wrongdoing, obtaining professional advice, preserving evidence, or exercising consumer rights. We may moderate community content using proportionate measures and will provide reasons and a review route where required by law.
Intellectual property and member contributions
We or our licensors own the rights in our original analysis, publications, branding and educational materials. During your access period, we grant you a limited, non-exclusive, non-transferable licence to use the content for your own personal purposes. You may save educational materials for personal reference where download is offered, subject to any disclosed licence conditions. Underlying market facts and third-party rights remain subject to applicable law.
You retain rights in your own contributions. If you submit a question or community post, you grant us only the rights reasonably necessary to display it in the relevant service, respond to it and moderate it. We will seek separate permission before using identifiable testimonials or your content in public marketing, unless another lawful basis and appropriate notice expressly apply.
Third parties and broker relationships
Brokers, Telegram, hosting providers and linked resources operate under their own terms and applicable data-protection arrangements. Their responsibilities differ from ours. Verify a broker's exact contracting entity, regulatory permissions, client-money protections, product restrictions, withdrawal rules and complaints route independently.
We do not guarantee a third party's conduct, but remain responsible for our own statements, selection decisions, referral conduct and other obligations to the extent required by law. Do not send us broker passwords, full payment credentials or funds. A person requesting a trading deposit into our account is not following the membership model described here; verify unexpected requests through our official contact channel.
Leaving the Service and statutory rights
You may end your membership at any time by contacting info@propertrades.com and leaving the relevant channel. We will remove your membership access and process related personal data under our Privacy Policy. Leaving a channel alone may not remove your details from our eligibility or support records; contact us if you want us to close your membership record.
No cancellation fee or recurring membership charge applies under the current model. There is no membership payment to refund. This does not affect claims, remedies or withdrawal rights available under mandatory law. Losses or fees arising in a separate broker account are addressed under that broker's contract and applicable law, subject to any responsibility we separately have for our own conduct.
Where distance-contract withdrawal rights apply, you may notify us of withdrawal within the applicable statutory period, including 14 days from conclusion of the membership contract where required. A clear statement identifying you and the contract is sufficient; no reason is required. Send it to info@propertrades.com or 31 Alexander Malinov Boulevard, Mladost 1A Residential Estate, 1729 Sofia, Bulgaria. We will supply any statutory notice or model form required for the relevant country. Accessing the Service does not automatically waive such rights. Any request to begin performance early or legally effective acknowledgment of loss of a withdrawal right must be obtained separately in the manner required by law.
Your mandatory rights concerning digital content, digital services, conformity, remedies and fair contract terms remain unaffected, including where a service is supplied without a monetary price but the law nevertheless applies. We do not treat broker-referral revenue as a fee you paid to us.
Future paid services
These Terms do not authorise us to charge you. Any future paid service requires a separate offer stating the price, taxes, payment arrangements, duration, renewal terms, cancellation process and applicable withdrawal/refund information, followed by your express agreement. We will not convert existing free access into a paid subscription or charge a payment method without that agreement.
Suspension termination and service changes
We may suspend or terminate access for a material breach, reasonably evidenced abuse or fraud, loss of properly disclosed eligibility, a security incident, a legal requirement, or discontinuation of the relevant service. Our response will be proportionate. Except where immediate action is necessary for security, law or serious misconduct, we will give reasons and a reasonable opportunity to address a remediable issue.
We may change features, delivery arrangements or a partner relationship for genuine operational, legal or security reasons. We will give reasonable advance notice of a material reduction or discontinuation when practicable and respect any applicable commitments and remedies. You may leave rather than accept a material change.
Termination ends access rights but does not extinguish accrued claims or duties intended to survive, including intellectual-property restrictions, lawful record retention and applicable dispute provisions. It is not a forfeiture of your legal rights.
Liability
We will exercise reasonable care and skill. We do not guarantee that an analysis will be correct, that a signal will be profitable, or that markets or third-party systems will operate as expected. Except for express commitments and mandatory obligations, we give no additional warranty of uninterrupted availability or fitness for a particular trading objective.
Nothing in these Terms limits liability for fraud or fraudulent misrepresentation; death or personal injury caused by negligence where such liability cannot lawfully be limited; intentional wrongdoing or gross negligence where exclusion is prohibited; obligations and remedies under applicable consumer, financial-services or data-protection law; or any other liability that cannot lawfully be excluded or limited.
Subject to those protections, we are not responsible for losses caused solely by market movements, your independent decisions, a broker's execution or failure, or a third-party outage, except to the extent our own legally actionable conduct contributed to the loss. A trading loss is not automatically excluded merely because it arises from trading.
For consumers, responsibility for foreseeable losses caused by our breach is determined by applicable law. We do not use a zero-liability cap based on the fact that membership is free. No contractual monetary cap applies in this draft.
For a member who is lawfully acting wholly for business purposes, and only to the extent permitted by applicable law, we exclude loss of anticipated profits, business opportunities, goodwill and indirect or consequential losses. Any separately agreed business-liability cap must be reasonable and must preserve the non-excludable liabilities above.
Take reasonable steps to limit avoidable loss where appropriate, without prejudicing your statutory rights. We will not require you to indemnify us for our own wrongdoing or impose an unrestricted indemnity on a consumer.
Complaints
Send a complaint to info@propertrades.com with your membership identifier, relevant dates and a description of the issue. Do not include passwords or unnecessary financial information. We aim to acknowledge within five business days and provide a substantive response within 30 calendar days. If more time is reasonably needed, we will explain why and give an expected response date. Shorter mandatory deadlines prevail.
You may escalate an unresolved complaint to the Bulgarian Commission for Consumer Protection where it is competent, any competent alternative-dispute-resolution body available under applicable law, the Bulgarian Financial Supervision Commission for matters within its remit, a competent court, or the relevant data-protection authority for privacy matters. We do not require internal complaints to be exhausted before you exercise rights where the law permits direct action. Complaints about broker execution or deposits should also be sent to the broker under its separate procedure.
Changes to these Terms
We may make changes for legal compliance, security, operational changes or changes to the service model. We will identify the effective date and give at least 30 days' notice of materially adverse contractual changes where practicable, or the longer period required by law. Urgent legal or security changes may require shorter notice, with an explanation.
Changes apply prospectively and do not remove accrued rights or retrospectively change Premium qualification. Where fresh agreement is legally required, we will obtain it. If you do not agree to a material change, you may end your membership before it takes effect. Silence or continued use will not be treated as consent where the law requires affirmative agreement.
Governing law and disputes
These Terms are governed by the laws of Bulgaria. If you are a consumer, this choice does not deprive you of mandatory protections applicable in your country of habitual residence. You may bring proceedings in any court available to you under mandatory jurisdiction rules, including your home courts where those rules provide that right. Any proceedings against a consumer will be brought only where applicable law permits.
For members acting wholly for business purposes, disputes are subject to the courts of Sofia, Bulgaria, unless another mandatory rule applies. No compulsory private arbitration or waiver of a regulator complaint is imposed by these Terms.
General provisions
If a provision is invalid, the remaining provisions continue to apply so far as lawful; an invalid provision will not be rewritten to impose an unfair obligation. A delay in enforcing a right is not a waiver. You may not transfer a membership without our agreement. We may transfer the contract only in accordance with applicable law, with appropriate notice and without reducing mandatory protections.
These Terms and the properly disclosed membership conditions describe the contractual arrangement, but do not exclude liability for misleading statements or other rights that cannot lawfully be excluded. Contact details for formal notices are those in section 1. We will communicate important notices through the contact method or channel identified at enrolment and make contractual notices available in a durable form where required.
